Hmm..
I am not quite sure what you mean.
The easiest way is to have a network card in both machines and run
TCP/IP across the network. Just set the gateway on you Win box to
be the IP of the Linux box.

If you want to run the network via serial line then you will need to set
up SLIP. This of course will use a serial port on both machines.
Then as before, set the gateway on you Win box to be the IP of the
Linux box.

Use IP masquerading.

eg

(Win9X IP:10.0.0.2) -> (Linux IP:10.0.0.1) -> (Modem IP:X.X.X.X server
assigned)
